Vodafone Idea’s Debt to Equity – Latest news headlines


The Government of India is set to become the largest shareholder of Vodafone Idea with 35.8 percent stake as the company’s board has approved conversion of interest on deferred spectrum and Adjusted Gross Revenue (AGR) dues into equity, Vodafone Idea said on Tuesday.

The debt-laden Vodafone Idea, a joint venture of UK-based Vodafone Group and Kumar Mangalam Birla-led Aditya Birla Group, has opted for conversion of interest on deferred spectrum and Adjusted Gross Revenue (AGR) liabilities into equity.

The conversion will result in dilution to all the existing shareholders of the Company, including the Promoters.

Following conversion, it is expected that the Government will hold around 35.8 percent of the total outstanding shares of the Company, and that the Promoter shareholders would hold around 28.5 percent (Vodafone Group) and around 17.8 percent (Aditya Birla Group), respectively, Vodafone Idea said in a statement.

The share price of Vodafone Idea slumped following the announcement. Trading in Vodafone Idea started sharply down at Rs. 13.40 at the Bombay Stock Exchange (BSE) on Tuesday against the previous day’s close at Rs. 14.85. The company’s share price plummeted to a low of Rs. 12.05 in the morning trade, which is 18.85 percent lower from its previous day’s close.

The company’s share price recovered later in the day. At 11.10am at the Bombay Stock Exchange (BSE) Vodafone Idea share was trading at Rs. 13.

The Board of Directors of Vodafone Idea, at its meeting held on 10th January 2022, approved the conversion of the full amount of such interest related to spectrum auction instalments and AGR Dues into equity.

“The Net Present Value (NPV) of this interest is expected to be about Rs. 16,000 crore as per the Company’s best estimates, subject to confirmation by the DoT. Since the average price of the Company’s shares at the relevant date of 14.08.2021 was below par value, the equity shares will be issued to the Government at par value of Rs. 10 per share, subject to final confirmation by the DoT,” Vodafone Idea said in a regulatory filing to the stock exchanges.

Union cabinet on September 15 approved a slew of measures to support the cash-strapped telecom firms. The relief measures include a four-year moratorium on payment of spectrum and AGR dues. The telecom firms have also been given the option to pay the interest amount arising due to the deferment of payments by way of issuing equity to the government.

Following the government’s announcement Bharti Airtel and Vodafone Idea opted for the four-year moratorium.

However, Bharti Airtel recently decided to pay the interest amount to the government instead of issuing the equity.

After the conversion of the dues into equity, the Government of India will become the largest shareholder of Vodafone Idea. This will require changes in the company’s Articles of Association.

“The governance and other rights of the Promoter shareholders are governed by a Shareholders Agreement (SHA) to which the Company is a party and are also incorporated in the Articles of Association of the Company,” Vodafone Idea said.

The rights are subject to a minimum Qualifying Threshold of 21 percent for each Promoter group, and in light of the conversion of interest into equity, the Promoters have mutually agreed to amend the existing SHA for reducing the minimum Qualifying Threshold from 21 percent to 13 percent for the purpose of exercising certain governing rights e.g. appointment of directors and relating to appointment of certain key officials, etc.

Vodafone Idea said its Board has also taken note of the proposed changes to the existing Shareholders Agreement (SHA), and accordingly authorised execution of the same and also recommended changes in the Articles of Association (AoA) to give effect to the changes in the SHA.

The amendment to the AoA shall be subject to the approval of shareholders in general meeting, for which the Board has authorised officials of the Company to decide the date of shareholders meeting in accordance with the terms of the amendment to the existing SHA as approved by the Board, the company said.

Latest News Today – Vodafone Plans To Launch Additional Share Buy-Back


UK’s Vodafone Group said on Friday it intends to launch additional share buy-back programmes over the next eight months to partially offset the increase in the company’s issued share capital due to maturing of a convertible bond programme.

The mobile and broadband operator, which has roped in Goldman Sachs as principal of the programme, said the buy-backs will start on July 26 and end by Nov. 17.

Vodafone reported a better-than-expected rise in first-quarter service revenue as more stores reopened and tourism made a tentative return following last year’s COVID-19 disruption.

The British company had said in May free cash flow would increase to at least 5.2 billion euros ($6.12 billion) this year, after it met its target of “at least” 5 billion euros in the year to end-March.

  3. Click on the play button on each caller tune to hear the playback.

  4. Once you make a choice, click on ‘Set‘ to see the prices attached to the caller tune. Vi offers 30 days, 90 days, and yearly plans as well.

You can easily check if the provision of ISD calls has been activated on your Vi (Vodafone Idea) number. Vi lets you make voice calls to people abroad with the International Subscriber Dialing (better known as ISD) service. The telecom operator has different prepaid and postpaid ISD call rates for making outbound international calls. However, just like other operators, Vi also has some recharge packs that offer ISD calling minutes with a validity. The ISD recharge packs for Vi customers start from as low as Rs. 18.

How to activate ISD on Vi (Vodafone Idea)

Vi (Vodafone Idea) customers are not required to dial a number or send an SMS message to activate the ISD service on their numbers. For most users, the service has been enabled by default. However, in some cases, the operator can ask customers to send SMS message “ACT ISD” to 144 to activate ISD service.

You can make an ISD call on Vi by prefixing “+” followed by the area code and the phone number. Different rates apply for ISD calls to different ISD codes for both Vi prepaid and postpaid customers that you can check on the telecom operator’s official website.

Vi offers some prepaid recharge packs to either bundle some calling minutes or cut call charges for making ISD calls. Customers on Vi prepaid plans can recharge with the Rs. 18 pack to get 60 minutes of ISD calls for a day. Similarly, there is a Rs. 61 ISD recharge pack that reduces the call rates to the US and Canada to 1 paisa per second. Customers can also pick the Rs. 295 prepaid recharge pack to get 40 minutes of ISD calling along with 28 days of validity.

OTP Troubles? Here’s Why You May Not Be Receiving | Sidnaz Blog


Several users are facing issues in receiving one-time passwords (OTP) through SMS today from banks, e-commerce and other companies due to a massive disruption in SMS services. This is an industry-wide issue affecting everything from CoWIN registration OTPs, bank OTPs for debit card transactions, and even systems like two-factor authentication OTPs to log into accounts online. Although the telecom operators have not made official statements about it, industry sources said that this is due to new SMS regulations. These regulations were set up to control SMS fraud, but it appears to have also caused a number of problems in the process.

One insider told Gadgets 360, “Basically, operators have implemented the new DLT process, and this has affected push notifications.” Distributed Ledger Technology (DLT) is a block-chain based registration system. According to TRAI (Telecom Regulatory Authority of India), telemarketers have to be registered in the DLT platform. It is being issued in the public interest to control the SMS spam from various marketing firms, explains Corefactors, an engineered marketing and communications solutions company. However, the implementation of this measure has not gone smoothly, the source explained.

As a result, many, many people have been facing problems. People have been tweeting through the day about the problems that they’re facing, and it’s not clear how long it will take for the problem to actually be resolved.

TRAI asked telecom operators to implement the process of scrubbing, which essentially means that every SMS is verified with a registered template before it is delivered. Unfortunately, there appear to have been issues with the implementation, which several people noted online.

Several of Gadgets 360’s staff also faced similar issues of not receiving OTPs for ordering food, making crucial bank transactions, or shopping online. However, not all were affected. For some, it was a normal day with no delay in OTPs and smooth checkouts. These issues are also not carrier specific as both Vodafone and Airtel subscribers were facing issues. We were hardly alone in facing these problems either, as several tweets could attest.

However, what’s concerning is that neither were banks that are being affected, nor the telecom companies putting out statements. Some team members noted that when trying to order online, food delivery companies were giving updates about high failure rates with debit cards, but most did not give their users clear communication. Only a few even mentioned that they were facing glitches, without telling customers what the problem was.

Vodafone Idea Falls After December Quarter Earnings | Sidnaz Blog


Vodafone Idea’s average revenue per user came in at Rs 121 per month in December quarter.

Shares of Vodafone Idea fell nearly 5 per cent to hit an intraday low of Rs 11.92 on the BSE after it reported December quarter earnings. Vodafone Idea on Saturday said that its net loss narrowed to Rs 4,532 crore from loss of Rs 6,438.8 crore during the same quarter last year. Its revenue from operations declined nearly 2 per cent to Rs 10,894 crore compared with Rs 11,089 crore in the year ago period. On a sequential basis, Vodafone Idea’s revenue rose 1 per cent. Vodafone Idea’s operating profit or earnings before interest, taxes, depreciation and amortization (EBITDA) for the quarter came in at Rs 4,290 crore while EBITDA margin improved to 39.3 per cent versus 38.5 per cent in the previous quarter. “EBITDA improvement was driven by higher revenue as well as incremental opex savings from our cost optimization initiatives,” Vodafone Idea said in a statement.

Vodafone Idea’s average revenue per user, a key metric of how much a telecom company earns from a subscriber came in at Rs 121 per month in December quarter compared with Rs 119 in the previous quarter.

“In Q3FY21, we improved subscriber retention and operating performance, supported by Vi GIGAnet, which remains the fastest 4G network in India, as per Ookla as well the network with highest rated voice quality as per TRAI – a testimony to our superior network. We remain focused on executing our strategy, and our cost optimization plan remains on track to deliver the targeted savings. The Board has approved funds raising to support our strategic intent and we are in active discussions with potential investors,” Ravinder Takkar, MD & CEO, Vodafone Idea Limited, said.

As of 2:40 pm, Vodafone Idea shares traded 4.15 per cent lower at Rs 12.02, underperforming the Sensex which was up 1 per cent.

Jio, Vi, and Airtel eSIM: What Is It, How to Activate | Sidnaz Blog


Jio, Vodafone Idea (Vi), and Airtel, the three largest telecom operators in India, offer eSIM functionality for supported devices. eSIM or Embedded Subscriber Identity Module, as the name suggests, is embedded directly into your smartphone or any device in place of or along with your physical SIM card. Not only does it save space in a device as manufacturers do not have to add a tray or slot for a physical SIM and can use that space for something else, it enables remote SIM provisioning of any mobile device. So, in case of any changes that may require removing or changing a SIM when moving to a different circle, switching telecom operators, or others can be done remotely by the mobile operator.

Jio, Vi, and Airtel also offer the ability to convert your physical SIM to eSIM for devices that support it. An eSIM can be downloaded only to a compatible smartphone and for now, only Apple, Samsung, Google, and Motorola offer phones that support eSIM functionality in India. So, if you wish to use eSIM with any of the three telcos, here is a step-by-step guide. Make sure you are connected to Wi-Fi throughout the activation process.

How to activate Jio eSIM

For Apple iPhone models:

Head over to the Jio self-care portal and enter your pin code to find the nearest Jio Store, Reliance Digital, or Jio Retailer. Take your proof of Identity and photograph to the store and ask for a new eSIM. Supported iPhone models include iPhone XR, iPhone XS, iPhone XS Max, iPhone 11, iPhone 11 Pro, iPhone 11 Pro Max, iPhone SE (2020), iPhone 12 mini, iPhone 12, iPhone 12 Pro, and iPhone 12 Pro Max.

  1. Make sure you are on iOS version 12.1 or higher

  2. Tap on Settings and then About phone for EID and IMEI numbers

  3. Send SMS GETESIM <32 Digit EID> <15 Digit IMEI> to 199 from the iPhone model you have an active Jio SIM in

  4. You will receive a 19 digit eSIM number and eSIM profile configuration details

  5. SMS SIMCHG <19 digits eSIM number> to 199

  6. You will get an update on eSIM processing after two hours

  7. Once you get the message, confirm by sending to ‘1‘ to 183

  8. You will then get an automated call on your Jio number requesting you to share the 19 digit eSIM number

  9. A confirmation of activation of your new eSIM will be shared through SMS

  10. Now, eSIM profile needs to be configured on your iPhone so head to Mobile Data in Settings

  11. Tap on Add Data plan and then Enter details manually on the bottom

  12. In the SM-DP+address column, enter smdprd.jio.com

  13. In the Activation code section, enter the activation code you received in Step 4 (eSIM profile configuration details)

  14. After entering activation code, tap on Next on the top right

  15. Choose the Data Plan Labels as per your choice and select Continue

  16. Your Jio eSIM is now successfully activated and configured

For Samsung phones:

Supported Samsung phones include Samsung Galaxy Z Flip, Samsung Galaxy Fold, Samsung Galaxy Note 20 Ultra 5G, Samsung Galaxy Note 20, Samsung Galaxy Z Fold 2, Samsung Galaxy S21 5G, Samsung Galaxy S21+ 5G, and Samsung Galaxy S21 Ultra 5G

Follow Step 1 through Step 9 as mentioned above, then: 

  1. Head to Settings and tap on Connections  
  2. Tap on SIM card manager  
  3. Tap on Add mobile plan  
  4. Select Scan Carrier QR code  
  5. Tap on Enter code instead  
  6. Enter the Activation code in this format – LPA:1$smdprd.jio.com$ followed by the 32 digit activation code received via SMS/ email with space and tap on Connect  
  7. Jio eSIM is now activated and configured and will show up in the SIM card manager 

For Google phones:

Supported Google Pixel phones include Pixel 3, Pixel 3 XL, Pixel 3a, Pixel 3a XL, and Pixel 4a.  

Steps 1 through Step 9 are the same as above (for iPhone), then: 

  1. Head to Settings and tap on Network & Internet  
  2. Select Mobile network and then tap on Download a SIM instead  
  3. Tap Next and enter activation code manually by tapping on Need help?  
  4. Tap on Enter it manually  
  5. Enter the activation code in this format – LPA:1$smdprd.jio.com$ followed by the 32 digit activation code received via SMS  
  6. Select Activate and then tap on Done  
  7. Jio eSIM is now activated and configured

For Motorola phones:

Motorola Razr and Motorola Razr 5G are the only supported phones from the company.  

Follow Steps 1 through 9 as mentioned above, then: 

  1. For Motorola Razr 5G, head to Settings and select Network & Internet  
  2. Select Mobile network and tap on Next (for Motorola Razr, after tapping Mobile network, Select Advanced, tap Carrier, tap on Add Carrier, and the select Next)  
  3. Follow Step 3 through Step 7 as mentioned above (for Google Pixel phones) 

How to activate Vi eSIM

All Vi postpaid customers be it existing or new with eligible device can get eSIM.   

  1. SMS eSIM< space >registered email id to 199  
  2. You will receive a confirmation SMS if your email ID is valid  
  3. Reply to the SMS with ESIMY to confirm  
  4. You will receive an SMS  from 199 asking for consent over a call  
  5. After providing consent, a final SMS with a QR Code will be sent to your registered email ID

For iPhone users:

  1. Make sure you are connected to Wi-Fi or mobile data
  2. Head to Settings and tap on Mobile Data
  3. Tap on Add Data Plan
  4. Now scan the QR code received on mail and follow the prompts

For Samsung users:

  1. Go to Settings and tap on Connections
  2. Tap on SIM Card Manager and select Add Mobile Plan
  3. Tap on Add Using QR Code
  4. Now scan the QR code received on mail and follow the prompts

For Google Pixel users:

  1. Tap on Settings and head to Network & Internet
  2. Tap on Mobile Network and then Download a SIM instead
  3. Tap on Next and scan the QR code received in mail
  4. Follow the prompts on the screen

For Motorola Razr users:

  1. Head to Settings and tap on Network & Internet
  2. Select Mobile network and tap on Next
  3. Scan QR code received on mail and follow the prompts on the screen

How to activate Airtel eSIM

  1. To start the process, SMS eSIM <space> registered email ID to 121
  2. You will receive a SMS from 121 if your email ID is valid, confirming initiation of the process
  3. Reply to this SMS with ‘1
  4. You will receive another SMS from 121 asking you to provide a consent over call
  5. After consent, you will receive a final SMS from 121 regarding the QR Code that has been sent to your registered email ID.

For iPhone users, follow the above-mentioned steps (for activating Vi eSIM) and after the scanning process, tap on Label eSIM under Label for your new plan. Similarly, Samsung users can also follow the above-mentioned steps and after the scanning process, tap on Add in the Add new mobile plan option.

For Pixel users:  

  1. Head to Settings and select Network & Internet  
  2. Select Mobile Network and tap on Advanced  
  3. Tap on Carrier and then Add Carrier  
  4. Scan QR code received on mail  
  5. After scanning, tap on Download and then Done 

For Motorola Razr users:

  1. Head to Settings and select Network & Internet
  2. Tap Mobile Network and then Carrier, followed by Add Carrier
  3. Scan the QR code received on mail and when completed, tap on Download
  4. Select Done and your eSIM will be activated

For Motorola Razr 5G users:

  1. Head to Settings and select Network & Internet
  2. Tap on + sign besides Mobile Network
  3. Hit Next (Download your Sim) and scan the QR code received on your email
  4. After successful scanning, tap on Activate
